Licence Agreement

By using e@o on-line learning Ltd - e@o Manager - you agree, without limitation or qualification, to comply with following Terms of Use:

1. Reservation of Rights.
The content of e@o Manager - listening passages and exercises - are the intellectual property of e@o on-line learning Ltd. The coding, graphics and artwork (with the sole exception of the cartoons) are the property of Sparks Computer Solutions Ltd. The cartoons are the property of Mr Clive Goddard. It is strictly forbidden to copy, transmit, or redistribute e@o Manager or any part of it or to allow others, who have not subscribed, access to the site.

e@o Manager is managed by e@o on-line learning Ltd from its offices in Oxford, England. While users will access it from other countries in the world, each user agrees that when accessing and using it he or she will abide by the relevant laws of the United Kingdom.

2. Terms of use
By subscribing to e@o Manager, you agree to the following Terms of Use. e@o on-line learning Ltd reserves the right to modify these Terms of Use when it chooses and without notice. As you are bound by any such modifications, you should, from time to time, review these Terms of Use.

A A subscription can be made for a period 3 months, 6 months or one year, giving the user access to 5, 10 or 20 'Current Issues' plus restricted access to those units available in the 'Past Issues' domain. By 'access' it is meant that the user is entitled to use all the exercises in a unit and to submit his/her comments by e-mail for correction and comment by a teacher employed by e@o on-line learning Ltd. By 'restricted access' it is meant that the user is entitled to do all the exercises in a unit but not to submit his/her comments by e-mail for correction and comment.

B English @ Oxford undertakes to respond to a user's e-mail submission within 3 working days of receiving it and to provide comment and correction on this submission to the best of its ability.

(i) The respondents to

users' e-mail submissions are qualified teachers of EFL (English as a Foreign Language) who, in acting as employees of e@o on-line learning Ltd, undertake to comment on and correct users' submissions in a way which is professional and conducive to the improvement of the users' understanding and use of English.

(ii) In this context reference may be made to exercises in "English Grammar in Use" by Raymond Murphy ã Cambridge University Press 1985, 1994. While, as providers of English language training, we endorse the use of this book on pedagogical grounds, e@o on-line learning Ltd is in no way responsible or liable for any of its content.

(iii) In agreeing to use the submission service users agree to send comments that are related to the topic in a given unit and not to:- Send material which is defamatory, obscene or in any way unlawful - Advertise, promote or offer goods or services for sale.- Wittingly pass on any corrupted files or files containing a virus.

C The opinions and comments expressed by e@o on-line learning Ltd in e@o Manager are provided to stimulate ideas and facilitate the learning of English. They are based on materials in the public domain. To the best of our knowledge, all information pertaining to real companies and individuals is accurate and not confidential at the time of publication. Other situations and conversations used in exercises in e@o Manager are hypothetical and are included for educational purposes only; any resemblance to actual statements or documents made by individuals or companies is purely coincidental. The content of e@o Manager is in no way intended to constitute a sponsorship or endorsement of e@o on-line learning Ltd and/or e@o Manager by the individuals or companies referred to therein.

D When payment has been received by e@o on-line learning Ltd the prospective user will be issued with a username and password granting either access or restricted access to e@o Manager for a specified term of 3, 6 or 12 months.

(i) This username and password are strictly private and cannot be disclosed, transmitted or shared with any other individual. Any such violation of these terms shall result in immediate termination of contract and may lead to legal action.

(ii) As a user of e@o Manager you agree to inform e@o on-line learning Ltd (and your employer if the contract is with them) of any unauthorized use of your account.

(iii) At the end of the specified term the username and password will be withdrawn, unless the user wishes to renew his or her subscription. Users will be notified of this renewal option 30 days before renewal is due.

E By using e@o Manager you acknowledge that you are an adult as defined by the laws of the country or territory from which you are accessing.

(i) E@o on-line learning Ltd may send information to users about other of its own e-learning products or about the teaching services offered by English @ Oxford Partners. It will not, however, share personal information about users (names, email addresses, telephone numbers, addresses, credit card details etc.) with any third parties.

(ii) E@o Manager contains links to web sites operated by other parties and such links are provided for users' convenience only. e@o on-line learning Ltd does not control these web sites and is not responsible for their functioning or content.

F While we hope and trust that users will benefit from the use of e@o Manager, E@o on-line learning Ltd and its suppliers and licensees make no warranty regarding the results obtained from its use. Nor can we guarantee that e@o Manager will be free of errors or in its functioning, free of delays and interruptions.

(i) E@o on-line learning Ltd and its suppliers and licensees are not liable for any direct, indirect, incidental or consequential damages resulting from the use of or the inability to use e@o Manager.

(ii) You agree to indemnify and hold harmless e@o on-line learning Ltd and its suppliers, licensees and employees from any claims, liability, damages, and/or costs (including legal costs) arising from your use of e@o Manager, your infringement of any intellectual property therein and your violation of these Terms of Use.

3. Fees and Payments
Current prices are listed on the 'Enrolment' document within the main e@o on-line learning Ltd site. The prices listed do not include VAT nor any credit card charges which your bank may make. We reserve the right to modify these subscription fees, but will not do so within the term of a given subscription.

E@o on-line learning Ltd reserves the right to terminate your use if you have provided false registration information, if you violate the Terms of Use, or if you fail to pay us for amounts due under the payment terms.
